Terms and Conditions
Definitions
Dandelion Creative hereinafter will be referred to as 'We/Us/Our' and the Client/organization that accepts a quotation as 'Client' or 'They/Their'. The term ‘Contract’ will be defined, for the purposes of this document, as when a quote has been signed off on by both parties and paid in full. 'Project Completion' is defined, by default, as when the Client is provided with a copy of the final design in a 'print ready' format.
Summary
The following Terms and Conditions apply to all products and services provided by us. The Client agrees that they have the authority to enter into this Contract on behalf of themselves, their company, and/or organization.
Design Services
The Client agrees to provide us with everything that we need to complete the project including text, images and other information as they are needed and in the format requested. The Client accepts responsibility for any delays or missed deadlines due to not providing the aforementioned materials in a timely manner.
Any text that the Client requires to be included in the project must be complete and error free. If any copy writing or editing is required to complete the project to a high quality (as defined by us), they will be charged extra and an additional quote must be accepted and paid for before the project can be continued.
All graphic assets supplied by the Client should be in an editable, digital vector format. If supplied graphic assets must be converted into a vector format to complete the project to a high quality (as defined by us), they will be charged extra and an additional quote must be accepted and paid for before the project can be continued.
All photographs must be in a high resolution, digital format. If the Client requests that we search for and buy digital photographs on their behalf, they will be charged extra and an additional quote must be accepted and paid for before the project can be continued.
These Terms and Conditions allow for up to three revisions unless otherwise stated in the Contract. Extra revisions beyond those three are subject to additional charges at our discretion. Upon project completion, any unused revisions will be lost.
Project Deadlines
The Client agrees to review work submitted to them and provide feedback or approval in a timely manner. The Client accepts that any delays in communication or payment can cause deadlines to be missed and does not hold us accountable for any reasonable delays that might arise. If there is a hard deadline for a project, the Client is accountable for communicating it clearly and having it added to the Contract before the commencement of the project. We agree to carry out all services in a professional and timely manner.
Project Cancellations
If the Client decides to cancel a project for any reason, they will be refunded after deducting the cost of any work completed up to that point. Once refunded, a copy of any work completed up to that point will be given to the Client.
If we must cancel a project for any reason, a full refund will be given and a copy of any work completed up to that point will be given to the Client.
Intellectual Property Rights
The Client agrees that they have the relevant rights and permissions to use all supplied assets commercially. The Client agrees not to hold us liable for any copyright issues that might arise.
All rights are retained by us on all design work including words, pictures, ideas, visuals and illustrations until all costs are settled.
Upon completion of a project, the Client will have the rights for all visual/textual elements in the final design transferred to them and will be supplied with a print ready, digital copy of the design, unless otherwise outlined in the Contract.
We retain full rights over all source files related to a project and we reserve the right to display your project as part of our portfolio, social media or marketing, unless otherwise specified in the Contract.
Privacy
We agree not to share any personal or corporate information with third party sources, except for the purposes of executing the Contract.
Payment
The Client must provide payment in full before commencement of the project. Any additional fees incurred during the process must be paid before the relevant parts of the project are completed. Until all outstanding fees have been paid and the funds cleared, we reserve the right to not publish or release the final product to the Client.
We are responsible for obtaining the consent of the Client before doing any work that would incur charges above and beyond that of the original Contract. We also assume responsibility for the payment of all government taxes with respect to the services performed on behalf of the Client.
Errors and Omissions
We will not be responsible for any damages your business may suffer. We cannot guarantee that all our work will be completely error-free and, therefore, the Client agrees that we cannot be held liable by themselves, or any third parties, for any damages including lost profits, lost savings or other incidental, consequential or special damages, even if we are advised of them beforehand. The Client assumes all responsibility for checking proofs carefully for accuracy in all respects including, but not limited to, prices, spelling and dimensions. We are not responsible for fixing any errors in the assets given to us by the Client and any requests to do so will involve the creation of an additional Contract.
Severability
If any provision of this Contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Contract and shall not affect the validity and enforceability of any remaining provisions.
Non-Waiver
Our failure to insist upon strict compliance with any provision within these Terms and Conditions will be deemed to be a waiver of its rights or remedies or of its right to insist upon strict performance of such term or provision or any other term or provision in the future. No waiver of any of these Terms and Conditions will be valid unless made in writing and signed by a representative of Dandelion Creative and such waiver will not constitute a waiver of any other provision.
Acceptance of Terms
By accepting a Contract and supplying any initial information/images/files to allow a project to commence, the Client agrees that they have read, understood and are considered legally bound by these terms.
Dandelion Creative reserves the right to revise its policies, terms and conditions at any time without warning or notice.
